BMW AG converted all non-voting preferred shares into voting ordinary shares today. This conversion occurred at a one-to-one ratio. The amendment to the Articles of Association became effective upon its entry into the commercial register on June 30, 2026.

The move unifies the company’s stock into a single class of voting shares. This transition adopts the internationally recognized principle of one share, one vote. Shareholders originally approved the measure on May 13, 2026.

Trading of preferred shares under ISIN DE0005190037 will end on June 30, 2026. The automatic conversion for shareholders will occur between July 1 and July 3, 2026.

BMW’s share capital now totals 615,810,431 ordinary shares with voting rights. The conversion increases the free float of BMW ordinary shares by approximately 19%.
