Italian technology company Bending Spoons (NASDAQ:BSP) agreed to acquire U.S. software firm Airtable in an all-cash deal.
The transaction carries an enterprise value of $1.285 billion.
Including Airtable's net cash, the deal reflects an implied equity value of approximately $2.25 billion.
Both companies' boards unanimously approved the merger, which is expected to close by the end of 2026.
The transaction remains subject to customary regulatory approvals.
This purchase represents Bending Spoons' first acquisition since its Nasdaq debut on July 1, 2026.
Bending Spoons continues an aggressive expansion strategy following previous acquisitions of AOL and Eventbrite.
Airtable provides integrated spreadsheet and database services to more than 500,000 organizations.
The platform currently serves 80% of the Fortune 100.
