Safe Harbor Marinas, owned by Blackstone, entered a definitive agreement to acquire MarineMax Inc. in an all-cash deal. The transaction carries an enterprise value of approximately $1.5 billion.

Safe Harbor will purchase all outstanding shares for $53.00 each. This price represents a 96% premium to the stock’s closing price on January 30, 2026. That date preceded the public disclosure of a previous unsolicited bid.

The MarineMax board unanimously approved the deal following a months-long strategic review. The competitive bidding process included several other interested parties.

The acquisition combines the world’s largest marina owner with a network of over 120 dealerships and marinas. The transaction is expected to close by the end of 2026. MarineMax will then become a private company and delist from the New York Stock Exchange.
