ClearOne Inc. has signed a definitive merger agreement with Cortigent, a subsidiary of Vivani Medical. The combined entity will be renamed Cortigent Holdings, Inc. and trade on the Nasdaq under the ticker CRGT.

This transaction marks a strategic pivot for ClearOne from its legacy audio-video business into the medical device sector. The merger is expected to close in the third quarter of 2026.

Vivani Medical will become the majority shareholder with an ownership stake between 59.4% and 67.5%. A planned financing round aims to raise $10 million to $15 million.

Capital will advance Cortigent’s neurostimulation devices designed to restore sight and motor function. Both boards have approved the deal, which remains subject to shareholder approval and standard closing conditions.
