Eos Energy Enterprises filed a resale shelf registration for up to 56.5 million shares of common stock. The filing allows investment funds affiliated with Cerberus Capital Management and Hudson Bay Capital Management to sell their holdings over time.
The registration covers shares issuable upon the exercise or conversion of existing warrants and preferred stock. Eos Energy will not receive any proceeds from these potential investor sales.
If all registered securities are sold, Cerberus’s ownership would fall from 35.0% to 27.4%. Hudson Bay’s stake would decrease from 9.2% to 4.1%.
This development introduces a significant increase in the market's share supply. Such an increase could create downward pressure on the company's stock price.
