The U.S. Securities and Exchange Commission declared the required Form S-4 and Form 10 registration statements effective on August 12, 2026. This regulatory milestone follows the initial deal announcement from January 2026.
Gentherm shareholders will vote on the proposed merger during a meeting scheduled for September 10, 2026. Modine shareholders will retain a significant ownership stake in the newly combined entity.
Management expects the transaction to close by the end of the 2026 calendar year.
