Prosus N.V. announced the pricing of US$1.65 billion in new senior notes, consisting of US$650 million due in 2033 at 5.528% and US$1 billion due in 2036 at 5.873%. The offering is part of the company's Global Medium-Term Note Programme and is expected to close on July 13, 2026. The proceeds are intended to refinance existing debt, specifically notes due in 2027 that are subject to a tender offer launched on July 6, 2026.
In conjunction with the new bond issuance, Prosus also announced the capped maximum amount for its cash tender offer for its outstanding 3.257% Senior Notes due 2027. The capped maximum amount is set at U.S.$1,035,854,000, and the company will accept for purchase up to the outstanding aggregate principal amount of U.S.$1,000,000,000 of these notes that are validly tendered. The company stated that it expects this refinancing to be ratings neutral.
