Fox Corporation filed an amended agreement to acquire streaming platform Roku for approximately $23.2 billion.
Roku shareholders will receive $96.00 in cash for each share held. Investors will also receive 0.9693 Fox Class A shares per Roku share. The deal follows a definitive agreement originally announced in June.
The merger integrates Fox’s sports and news content with Roku’s global connected TV platform. Roku currently serves more than 100 million households worldwide. The streaming service will function as a wholly-owned Fox subsidiary after the merger.
Fox granted the U.S. Department of Justice additional time to conduct antitrust reviews. The parties expect the transaction to close in the first half of 2027. Existing Fox shareholders will retain roughly 73% ownership of the merged entity.
