ARC Resources shareholders approved the company’s $16.4 billion acquisition by Shell PLC. Approximately 99.54% of votes cast at a special meeting supported the arrangement. The total deal value includes the assumption of ARC’s outstanding debt.

Shell will significantly expand its presence in Canada’s Montney shale basin through the purchase. This region provides a prolific source of natural gas and condensate. The transaction ranks as one of the largest energy sector deals in 2026. Management expects the acquisition to boost production and strengthen Shell’s LNG portfolio.

The companies first announced the deal in April 2026. The transaction should close in the second half of the year. Final completion remains subject to court and regulatory approvals. ARC stockholders will receive a combination of cash and Shell shares for each unit held.
