Skyworks Solutions priced a $2.0 billion offering of senior unsecured notes to fund its pending merger with Qorvo.
The debt includes $800 million in 5.000% notes maturing in 2028. A second tranche provides $600 million in 5.750% notes due in 2032. The final $600 million tranche consists of 6.250% notes due in 2036.
Net proceeds of approximately $1.98 billion will combine with existing cash to fund the $3.00 billion acquisition price. Skyworks expects the transaction to close as early as late September 2026.
The deal remains subject to regulatory approvals. The merger aims to create a larger, more diversified semiconductor company.
